These Terms & Conditions ("Terms") govern your use of The BooleanLabs website and any services we provide, including custom software development, AI engineering, animation, and SaaS products. By engaging with us you agree to these Terms.

1. Services

The BooleanLabs provides:

• Custom software and web application development.
• AI agent development and integration.
• Motion graphics and animation production.
• SaaS product development and licensing.
• Technical consulting and strategy.

Specific deliverables, timelines, and pricing are defined in a separate Statement of Work ("SOW") or project agreement signed by both parties.

2. Project Engagement

Kickoff & Scope

Projects begin once a SOW is agreed upon and an initial payment is received. Any scope changes must be agreed in writing and may affect timeline and cost.

Client Responsibilities

• Provide timely feedback and approvals as outlined in the SOW.
• Supply necessary content, credentials, and assets.
• Designate a primary point of contact with decision-making authority.

3. Payment Terms

• A non-refundable deposit (typically 50%) is required before work begins.
• The remaining balance is due upon project completion or as defined in the SOW.
• Invoices are due within 7 days of issuance unless otherwise agreed.
• Late payments are subject to a 2% monthly interest charge.
• Work may be paused on overdue accounts until payment is received.

4. Intellectual Property

Client Ownership

Upon receipt of full payment, the client receives ownership of all custom deliverables created specifically for them under the SOW, excluding third-party assets, open-source components, and our internal tooling/frameworks.

BooleanLabs IP

We retain ownership of all pre-existing intellectual property, proprietary frameworks, methodologies, and general-purpose code libraries. We retain the right to use completed work in our portfolio unless the client requests otherwise in writing.

SaaS Products

Our SaaS products are licensed, not sold. Subscription terms are governed by the relevant product agreement.

5. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the agreement for a period of 2 years.

6. Revisions & Acceptance

Each project phase includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Deliverables are deemed accepted if no written feedback is provided within 7 days of delivery.

7. Termination

Either party may terminate the engagement with 14 days written notice. The client is responsible for payment for all work completed up to the termination date. The non-refundable deposit is forfeited upon client-initiated termination.

8. Limitation of Liability

To the maximum extent permitted by law, The BooleanLabs shall not be liable for indirect, incidental, consequential, or punitive damages arising from our services. Our total liability for any claim shall not exceed the total fees paid for the specific project giving rise to the claim.

9. Warranties

We warrant that our work will be performed in a professional manner consistent with industry standards. We do not warrant that deliverables will be error-free or uninterrupted. Bug fixes and defects reported within 30 days of delivery will be addressed at no additional charge.

10. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation first, followed by binding arbitration if unresolved.

11. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services constitutes acceptance of updated Terms.
